Vallum Analytics Group – Terms of Service

Welcome to Vallum Analytics Group (“Vallum,” “we,” “our,” or “us”). By accessing, using, or subscribing to our platform, products, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”).

If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement.

You represent that all information provided to Vallum is accurate and current.

2. Use of the Services

You agree to use the Services only for lawful purposes and in compliance with these Terms. You are responsible for:

  • Maintaining the confidentiality of your account and login credentials

  • All activity that occurs under your account

  • Ensuring that uploaded documents (T-12s, Rent Rolls, OMs, etc.) contain no confidential information you do not have permission to share

You must not:

  • Copy, modify, or reverse-engineer any part of the Services

  • Use the Services to build a competing product

  • Attempt to bypass any security or access controls

  • Upload malicious code, viruses, or harmful data

3. Account Registration

To access certain features, you may be required to create an account. You are responsible for maintaining accurate information and safeguarding your credentials.

Vallum reserves the right to suspend or terminate accounts at our discretion.

4. Subscriptions, Billing & Payments

Some Services require payment. By subscribing, you agree to:

  • Pay all applicable fees

  • Authorize recurring charges unless cancelled

  • Provide valid payment information

Fees may change at any time, and you will be notified prior to any changes affecting your subscription.

Failure to pay may result in account suspension or termination.

5. Data Processing & Uploaded Content

By uploading documents, data, or information to the Services, you grant Vallum a non-exclusive, worldwide, royalty-free license to:

  • Process

  • Analyze

  • Store

  • Generate outputs from

your submitted content solely for the purpose of delivering the Services to you.

You retain all rights to your data.

We do not sell, rent, or disclose your uploaded data to third parties except:

  • As required by law

  • To service providers who assist in platform operation (under strict confidentiality)

6. AI-Generated Content

Our Services may use artificial intelligence, automation, and predictive analytics to generate:

  • Summaries

  • Underwriting

  • Reports

  • Recommendations

  • Draft offering memorandums

AI-generated output is informational only.
You acknowledge that:

  • AI output may contain errors

  • Output should be reviewed by qualified professionals

  • Vallum is not liable for decisions made based on AI-generated content

7. Intellectual Property

All intellectual property related to the Services—including but not limited to software, models, designs, workflows, UI elements, documentation, and analytics—is owned by Vallum or its licensors.

You may not:

  • Reproduce

  • Redistribute

  • Resell

  • White-label

  • Or make derivative works of the Services

without written permission.

8. Confidentiality

You agree not to disclose any non-public information about Vallum, including product details, pricing, roadmap, integrations, or internal processes, unless explicitly permitted.

9. Prohibited Activities

You may not use Vallum to:

  • Underwrite or process illegal properties or assets

  • Upload unauthorized or stolen documents

  • Conduct automated scraping or data extraction

  • Interfere with platform operation or integrity

Violation may result in immediate termination.

10. Availability & No Guarantee

The Services are provided “as is” without warranties of any kind.

We do not guarantee:

  • Continuous uptime

  • Error-free performance

  • Accuracy of analytics or AI outputs

  • Future functionality or product roadmap

But we aim to deliver world-class performance.

11. Limitation of Liability

To the fullest extent permitted by law:

Vallum is not liable for:

  • Indirect, incidental, punitive, or consequential damages

  • Loss of data, profits, or business opportunities

  • Errors in analysis, underwriting, or AI outputs

Your sole remedy is to discontinue use of the Services.

12. Termination

We may suspend or terminate your access if:

  • You violate these Terms

  • You misuse the platform

  • Payments are past due

  • We determine continued access poses risk

Upon termination, your license to use the Services ends immediately.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law provisions.

14. Changes to Terms

We may update these Terms at any time. Continued use after updates constitutes acceptance.
